1. Acceptance of Terms

By accessing and using MetricsLM (“the Service”), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

MetricsLM provides AI governance and compliance services, including but not limited to:

  • AI agent certification and trust scoring
  • Compliance monitoring and assessment
  • Governance framework implementation
  • Risk assessment and mitigation guidance
  • Audit report generation and analysis

3. User Responsibilities

Users of MetricsLM are responsible for:

  • Providing accurate and complete information about AI agents
  • Ensuring compliance with applicable laws and regulations
  • Maintaining the security of their account credentials
  • Not using the service for any illegal or unauthorized purpose
  • Respecting intellectual property rights

4. Data and Information

MetricsLM aggregates and analyzes data related to AI agents and their compliance status. While we strive for accuracy, we cannot guarantee the completeness, reliability, or accuracy of any information provided through our service.

Users acknowledge that the information provided is for guidance purposes only and should not be considered as legal, financial, or professional advice.

5. AI Agent Submission Guidelines

When submitting AI agents to MetricsLM for approval and listing, you must ensure your agent meets the following criteria:

  • Valid AI Agent: The submission must be a genuine AI agent, AI system, or AI-powered tool that provides real functionality
  • Complete Information: All required fields must be filled with accurate, detailed, and truthful information
  • Professional Purpose: The agent must serve a legitimate business, research, or professional purpose
  • Compliance Ready: The agent should be designed with governance, compliance, and ethical considerations in mind
  • Transparency: The agent's capabilities, limitations, and intended use cases must be clearly described
  • No Harmful Content: The agent must not promote illegal activities, discrimination, or harmful content
  • Active Development: The agent should be in active development or production use, not just conceptual

Approval Process: All agent submissions undergo review by our team. We reserve the right to approve, reject, or request modifications to any submission based on these criteria. Rejected submissions will receive feedback explaining the decision.

Resubmission: If your agent is rejected, you may submit a new version that addresses the feedback provided. Each submission is evaluated independently.

6. Self-Certification Process

When completing a self-certification for an AI agent, you acknowledge and agree to the following:

  • Accuracy of Information: You certify that all information provided about the AI agent is accurate, complete, and truthful to the best of your knowledge
  • Legal Authority: You confirm that you have the legal authority to certify the AI agent on behalf of your organization
  • Audit Trail: You consent to the collection of your IP address, digital signature, and certification timestamp for audit and compliance verification purposes
  • Data Retention: Certification data, including audit information, will be retained for compliance and verification purposes as required by applicable regulations
  • Liability: You accept responsibility for the accuracy and completeness of the certification and any consequences resulting from false or misleading information
  • Platform Sharing: You consent to the sharing of your certification information with other users on the MetricsLM platform for transparency and trust-building purposes. This includes agent details, compliance data, and certification status, but excludes personal information such as your name, email, and IP address
  • Document Distribution and Liability: You acknowledge and agree that:
  • You are solely responsible for any and all consequences arising from the download, distribution, or sharing of certification documents
  • MetricsLM bears no responsibility for how you or third parties use, distribute, or rely upon downloaded certification documents
  • You accept full liability for any damages, claims, or legal issues resulting from the sharing of certification information
  • You understand that sharing certification documents may expose sensitive business information and trade secrets
  • You warrant that you have the legal authority to share all information contained in certification documents
  • You agree to indemnify and hold harmless MetricsLM from any claims arising from your sharing of certification documents

Risk Acknowledgment: By proceeding with certification, you explicitly acknowledge that sharing certification information is done at your own risk. You understand that once information is shared or documents are downloaded, MetricsLM cannot control or limit how such information is used by you or third parties. You accept full responsibility for ensuring that all shared information complies with applicable laws, regulations, confidentiality agreements, and trade secret protections.

By completing a self-certification, you represent that you have read, understood, and agreed to these terms and that you are authorized to make such representations on behalf of your organization. You acknowledge that your certification will be visible to other platform users to promote transparency and informed decision-making in the AI ecosystem. You further acknowledge that any sharing of certification documents is done at your own risk and with full understanding of the potential consequences.

7. Disclaimers and Warranties

DISCLAIMER OF WARRANTIES: THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. METRICSLM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

CERTIFICATION DISCLAIMER: While MetricsLM provides tools and frameworks for AI agent certification, we do not guarantee the accuracy, completeness, or legal compliance of any certification information. Certifications are self-reported and subject to the user’s own verification and legal review. MetricsLM is not responsible for any regulatory compliance, legal consequences, or business decisions based on certification information.

INFORMATION SHARING DISCLAIMER: MetricsLM provides a platform for sharing certification information but assumes no responsibility for how such information is used, distributed, or relied upon by users or third parties. Users are solely responsible for ensuring that shared information complies with applicable laws, regulations, and confidentiality obligations.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, METRICSLM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service

  • Any regulatory actions or penalties resulting from use of our service
  • Any unauthorized access to or alteration of your data

IN NO EVENT SHALL METRICSLM'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. METRICSLM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability and fitness for a particular purpose
  • Warranties that the service will be uninterrupted or error-free
  • Warranties regarding the accuracy or completeness of compliance assessments
  • Warranties that the service will meet your specific requirements

10. Indemnification

You agree to indemnify and hold harmless MetricsLM, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

11. Modifications to Terms

MetricsLM reserves the right to modify these terms at any time. We will notify users of any material changes by posting the new terms on this page. Your continued use of the Service after such modifications constitutes acceptance of the updated terms.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MetricsLM operates, without regard to its conflict of law provisions.
